賣契約明定賣方必須履行貨物於船舶上積載及平艙到何種
程度，是否增加義務僅涉及費用，或包括費用及裝載過程

中意外 滅失或毀 損風險兩 者。買賣 契約當事 人應事前釐
清。

在傭船或租船契約，買方與船東或運送人簽訂運送契約，

若使用 Free Out，此“Free＂表示傭船或租船契約不包括

卸載作業 (discharging operation) 所發生之費用，船東或
運送 人要 向買 方洽 收卸 載作 業費 。若 使用 Free In ，此
“ Free ＂ 表 示傭船或 租船契約 不包括裝 載作業 (loading

operation) 所發生之費用，船東或運送人要向賣方洽收裝
載作業費。

3. 裝卸費可按港口習慣，賣方負擔裝載費，買方負擔卸載費。

若運送單據 (提單) 表明屬 Berth Terms，則運送人收取之運

費已包括裝卸費。

在不定期船 (tramp vessel) 傭船運送或定期船運送，船東
報價之運費例如：Berth Terms 之情況，即運費已包括裝卸
費在內。買賣雙方在買賣合約可明訂何方負擔貨物之裝卸

費，若有約定則依契約自由，從其約定。

The charter party will be concluded between the seller and the shipowner on terms
“Free Out”, when the word “Free” means that discharging operations are not included
in the charter party hire. In such case , the charter party may make clear that the
loading operation is also “free” to the shipowner.
